Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and 1wagon concerning the 1wagon mobile application, website, support channels, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms, our Privacy Policy, and our published safety and community rules. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, have legal capacity to enter this agreement, provide accurate information, and not be prohibited from using the Services. You may not use the Services if we previously banned you unless we provide written authorization.

2. The coordination service

1wagon provides technology that may let users create traveler profiles, enter travel information, see potential matches, request or accept a connection, communicate, and view limited ratings or verification indicators. A match is only a suggested introduction. It creates no agency, partnership, employment, fiduciary, carrier-passenger, broker, or other special relationship.

3. 1wagon is not a transportation provider

1wagon is not a taxi company, transportation network company, carrier, rideshare provider, dispatcher, broker, driver, vehicle owner, travel agent, insurer, security service, payment processor, or emergency-response provider.

We do not select drivers or vehicles; inspect, license, employ, or supervise drivers; book rides; set or collect fares; divide or enforce payments; choose pickup or drop-off points; require users to meet; monitor journeys; provide insurance; or guarantee that transportation will occur.

Any taxi, cab, rideshare, driver, vehicle, airline, or other transportation service is independent from 1wagon and operates under its own terms, licensing, insurance, pricing, safety, and privacy practices.

4. Your independent choices

You independently decide whether to contact another user, where and when to meet, whether to enter or remain in a vehicle, which transportation provider to use, whether a driver or vehicle appears safe, what information to share, and how to divide or reimburse a fare.

1wagon is not a party to any agreement between users or between a user and a transportation provider. We are not responsible for a user's decision to meet, travel with, or share a cab or rideshare with anyone after a match.

Any fare-sharing promise is solely between participating users. We do not guarantee payment, reimbursement, fare accuracy, refunds, or performance. Never send advance payment merely to secure a match.

5. Assumption of real-world risk

Meeting and traveling with strangers carries inherent risks, including harassment, assault, theft, stalking, fraud, discrimination, nonpayment, property damage, vehicle collisions, bodily injury, disability, illness, missed connections, and death. To the fullest extent permitted by law, you knowingly and voluntarily assume risks arising from your interactions with other users and independent transportation providers.

Use independent judgment. Meet in public, verify driver and vehicle information in the transportation provider's app, protect your belongings, tell someone you trust about your plans, and leave any situation that feels unsafe. Call local emergency services if you are in danger. 1wagon does not continuously monitor the Services and cannot provide emergency assistance.

6. Verification and ratings are limited

A phone, photo, flight, hub-presence, prior-trip, or rating indicator confirms only the limited technical check described. Unless expressly stated, 1wagon has not verified legal identity, reviewed government identification, conducted a criminal-background check, confirmed ticket ownership, determined character, or endorsed a user.

Presence can change after a check. Flight information can be delayed or inaccurate. Ratings and reports may be incomplete, disputed, delayed, or manipulated. City trips may not include flight or hub-presence verification. Never rely solely on a badge, photograph, social handle, rating, message, or match score when deciding whether to meet someone.

7. Accounts

You must maintain accurate information and protect access to your device and authentication codes. You may not create an account for someone else, impersonate anyone, use another person's photograph, transfer an account, evade a suspension, misrepresent your age or trip, or create replacement accounts after a ban.

8. Prohibited conduct

• Harassment, threats, stalking, sexual misconduct, exploitation, violence, theft, or fraud.
• Unlawful discrimination, hate speech, obscene abuse, or publication of another person's private information.
• Soliciting illegal activity, trafficking, weapons violations, or commercial ride solicitation.
• Operating as an unlicensed transportation provider or violating airport, station, carrier, or local rules.
• Spam, scraping, bots, reverse engineering, security interference, malicious code, or unauthorized account access.
• False reports, ratings manipulation, location spoofing, or circumvention of safety controls.

9. User content and communications

You retain ownership of content you submit and grant 1wagon a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and transmit it as reasonably necessary to operate the Services, show it to intended recipients, investigate reports, enforce policies, maintain safety, and comply with law.

You represent that you have the right to submit your content and that it does not violate law or another person's rights. Messages are not guaranteed to be inaccessible to 1wagon. Authorized personnel may review communications when reasonably necessary for support, abuse prevention, safety investigations, enforcement, or legal compliance.

10. Reports, blocking, and moderation

Users may report or block others. We may investigate and warn, limit, suspend, or terminate accounts at our discretion. We cannot guarantee that we will detect every violation, prevent every incident, resolve private disputes, or disclose confidential moderation information. A moderation action is not an admission that 1wagon owed or breached a legal duty.

11. Third-party services

Transportation providers, airlines, maps, flight-data services, social networks, app stores, and external websites are independent. 1wagon is not responsible for their availability, fares, surge pricing, routes, cancellations, driver or vehicle conduct, licensing, insurance, accidents, lost property, payment disputes, content, privacy, or security.

12. Location and travel information

Maps, routes, terminals, flights, arrivals, distances, and timing may be delayed, estimated, incomplete, or wrong. Verify critical information with the airline, airport, driver, transportation provider, or another official source. Do not rely on 1wagon for boarding, connection, pickup, emergency, or personal-safety decisions.

13. Service availability and changes

The Services may be experimental, interrupted, modified, suspended, or discontinued. We do not guarantee a match, message delivery, uninterrupted operation, preservation of every item of data, or availability in any location.

14. Intellectual property

1wagon and its licensors own the Services, software, design, marks, and materials. We grant you a limited, revocable, non-exclusive, non-transferable license for personal, noncommercial use. You may not copy, resell, sublicense, reverse engineer, or commercially exploit the Services except where law expressly permits it.

15. Suspension and termination

We may limit, suspend, or terminate access when we reasonably believe you violated these Terms, present a safety or fraud risk, are connected to prohibited conduct, expose someone to harm, or when action is required by law. You may delete your account through the app. Provisions intended by their nature to survive termination—including ownership, retained records, disclaimers, liability, indemnity, and disputes—will survive.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” 1wagon disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and safety.

We do not warrant that a match will be available or suitable; a user is who they claim to be or will act safely; transportation will occur; a fare will be paid or shared; a verification, rating, route, or travel detail is complete or accurate; or the Services will be uninterrupted or error-free.

17. Release of claims involving users and transportation

To the maximum extent permitted by law, you release 1wagon and its affiliates, officers, employees, contractors, and agents from claims arising out of your interactions with other users; your decision to meet or travel with another person; any cab, taxi, rideshare, driver, vehicle, or journey; any payment arrangement; and acts or omissions of users or independent third parties, including personal injury, death, theft, assault, harassment, fraud, nonpayment, and property damage caused by those persons.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for 1wagon's own fraud, willful misconduct, or other non-waivable conduct.

18. Limitation of liability

To the maximum extent permitted by law, 1wagon will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or loss of profits, data, goodwill, or opportunity, arising from the Services, user conduct, or third-party conduct.

To the maximum extent permitted by law, 1wagon's total aggregate liability will not exceed the greater of the amount you paid 1wagon during the 12 months before the event giving rise to the claim or US $100. These limitations do not apply where prohibited.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless 1wagon and its affiliates, officers, employees, contractors, and agents from claims, losses, liabilities, damages, penalties, costs, and reasonable attorneys' fees arising from your use of the Services, interactions or transportation arrangements, content, violation of these Terms or law, infringement of another person's rights, or fraud or misconduct. This does not require indemnification for 1wagon's own conduct where prohibited.

20. Informal dispute resolution

Before filing a formal claim, you and 1wagon agree to provide written notice and attempt in good faith to resolve the dispute for 30 days. Notices to 1wagon must be sent to legal@1wagon.app and include your name, account phone number, a description of the dispute, and requested relief. Either party may seek emergency injunctive relief where necessary.

21. Arbitration and class-action waiver

Except for eligible small-claims matters, emergency injunctive relief, and claims that cannot lawfully be arbitrated, disputes will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this section.

You and 1wagon waive a jury trial and agree to bring claims only individually, not in a class, collective, consolidated, coordinated, or representative proceeding. You may opt out by emailing legal@1wagon.app within 30 days after first accepting these Terms. If a particular waiver is unenforceable, the affected claim will proceed in a court with jurisdiction rather than arbitration.

22. Governing law

Except where mandatory consumer law requires otherwise, these Terms are governed by New York law without regard to conflicts rules. Court proceedings permitted under these Terms will be brought in state or federal courts located in New York County, New York, and each party consents to jurisdiction there.

23. Apple-specific terms

If you downloaded the app from Apple, these Terms are between you and 1wagon, not Apple. Apple has no obligation to maintain or support the Services and is not responsible for claims relating to them. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions. Your use must comply with Apple's usage rules.

24. Changes

We may update these Terms. We will provide appropriate notice of material changes. If you do not agree to updated Terms, stop using the Services and delete your account.

25. General

These Terms are the entire agreement concerning the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed without affecting the remainder. A failure to enforce is not a waiver. You may not assign these Terms without consent; 1wagon may assign them in connection with a financing, reorganization, acquisition, or transfer of the Services.

26. SMS and text messaging

When you enter your mobile number to create or access an account, you agree to receive one-time account verification codes from 1wagon by SMS text message. These are transactional messages sent only to authenticate you; 1wagon does not send marketing or promotional text messages. Message frequency depends on your sign-in activity. Message and data rates may apply according to your mobile carrier plan. Carriers are not liable for delayed or undelivered messages. Reply STOP to any message to opt out of further texts, or HELP for assistance; you can also stop by deleting your account. Opting out of verification texts may prevent you from signing in.
